These Terms of Service ("Terms") govern your access to and use of zoomroom.io, tenant-branded booking portals, and related applications (collectively, the "Service"), operated by KPT Industries LLC, doing business as ZoomRoom ("KPT Industries," "ZoomRoom," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of the Service
ZoomRoom is a booking platform that lets businesses ("Tenants") list bookable spaces — meeting rooms, desks, and similar shared spaces — and manage reservations, staff, and billing for those spaces. ZoomRoom does not own, operate, or manage the physical spaces listed by Tenants. Each Tenant is solely responsible for the accuracy of its listings, the condition and availability of its spaces, and its interactions with anyone who books through the Service.
The Service supports several kinds of accounts: Tenant staff, admins, and owners who manage a Tenant's spaces and bookings; Registered Guests who book spaces directly; and Building Member users whose access is granted by a Building Member company under a Tenant's building-member program. These Terms apply to all account types unless a section says otherwise.
2. Accounts and Eligibility
- You must be at least 18 years old to create an account or use the Service.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must provide accurate, current information when registering and keep it up to date.
- Each Tenant has exactly one "owner" account with authority over subscription, billing, and admin management; owners may transfer this role to another admin.
- If you are a Building Member user, your employer's administrator may create and manage your account on your behalf, including your space access and booking allowance.
We may suspend or terminate accounts that provide false information, violate these Terms, or are inactive for an extended period, subject to Section 9 (Termination).
3. Subscriptions and Billing
3.1 Plans and Payment
Tenants subscribe to a paid plan to use the Service. Subscription fees are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on file for all applicable fees.
3.2 Trials
We may offer a free trial period without requiring a payment method. When the trial ends, access to paid features may be restricted unless the Tenant selects a paid plan and provides a valid payment method. If a payment method is collected during a trial and the checkout page states that the subscription will renew automatically, the payment method will be charged when the trial ends unless the subscription is canceled first.
3.3 Cancellation and Refunds
You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods except where required by law.
3.4 Failed Payments
If a payment fails, we may retry the charge and will notify the account owner. We may suspend admin access to billing-gated features until payment succeeds, and may terminate the subscription if payment remains unresolved.
3.5 Price Changes
We may change subscription pricing with advance notice. Price changes take effect at your next renewal after the notice period.
4. Bookings
When you book a space through the Service, you enter into an arrangement with the Tenant that manages that space, not with KPT Industries or ZoomRoom. Each Tenant sets its own pricing, availability, and access requirements (such as door codes). During the ZoomRoom beta, a paid booking canceled through the Service receives a full refund to the original payment method. Refund timing after ZoomRoom submits it is controlled by Stripe and the customer's financial institution. KPT Industries and ZoomRoom are not parties to, and are not responsible for, disputes between a Tenant and anyone who books through the Service, including disputes over no-shows or space condition.
If you invite a guest to a booking, you are responsible for ensuring you have the right to share their contact information with us and with the Tenant for the purpose of fulfilling that booking.
Building Member users book against the free-hour pool and space access their Building Member company has been granted by the Tenant; usage beyond that pool may incur charges set by the Tenant.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity
- Attempt to gain unauthorized access to any account, Tenant, or part of the Service not intended for you
- Interfere with or disrupt the integrity or performance of the Service, including by circumventing rate limits or security controls
- Scrape, reverse-engineer, or resell the Service without our written consent
- Use booking access information (such as door codes) for anything other than a confirmed reservation
6. Tenant Responsibilities
If you operate a Tenant account, you are responsible for the accuracy of your space listings, compliance with all laws applicable to your business (including safety, accessibility, and tax obligations related to space rental), and the conduct of your staff and admins who use the Service on your behalf. While the Service uses the beta full-refund policy described in Section 4, you must not publish or promise a conflicting cancellation or refund policy for bookings processed through ZoomRoom.
7. Intellectual Property
The Service, including its software, design, and ZoomRoom branding, is owned by KPT Industries LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of the content you submit (such as space listings and branding assets) and grant us a license to host and display it as needed to operate the Service.
8. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, KPT Industries LLC, doing business as ZoomRoom, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless KPT Industries LLC, doing business as ZoomRoom, and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive termination (including Sections 8 and 9) will survive.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
Before initiating any legal proceeding, the parties agree to attempt to resolve the dispute through good-faith negotiation for at least 30 days after written notice sent to support@zoomroom.io. Any dispute not resolved through negotiation will be brought exclusively in the state courts located in Maricopa County, Arizona, or the United States District Court for the District of Arizona, and each party consents to personal jurisdiction and venue in those courts.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the Last Updated date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
